IM8 Ambassador Program Terms and Conditions

1. Eligibility

To participate in the IM8 Ambassador Program, you must:

Be at least 18 years of age (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms;

Maintain and actively use at least one personal public social media account on platforms such as Instagram, TikTok, YouTube, or Facebook;

Be in good standing with the Federal Trade Commission ("FTC") or the equivalent regulatory body in your jurisdiction;

Not be a party to any agreement or subject to any law that restricts your performance of your obligations under these Terms; and

Comply with all applicable laws, including FTC disclosure guidelines.

IM8 reserves the unconditional right to review, deny, suspend, or terminate any application or Ambassador account at any time, for any reason, in its sole discretion.

2. Enrollment, Account & Platform

The Program is managed and tracked via our third-party platform, Social Snowball. Upon approval, you will receive access to your Social Snowball dashboard where you can view your referral link, personalized discount code, sales, and payout setup.

You are responsible for keeping your Social Snowball login credentials secure and for any activity that occurs under your account. You must complete your payout setup (including providing necessary tax or banking information) within the Social Snowball dashboard to receive commissions.

Note: For Ambassadors who joined prior to April 14, 2026, legacy balances earned on the TUNE platform will be paid according to TUNE's schedule. All sales from April 14, 2026, onward are tracked and paid exclusively via Social Snowball.

3. Affiliate Links, Discount Codes & Tracking

Upon approval, you will be provided with a unique referral link (e.g., im8health.com/discount/[YOUR_CODE]) and a personalized discount code.

Tracking: Commissions are tracked only when a customer clicks your unique referral link or enters your personalized discount code at checkout. IM8 is not responsible for tracking failures caused by user error, browser settings, ad blockers, or technical issues outside of our control.

Discount Code Usage: Your discount code provides your audience with a 10% discount on their first order. Personalized codes are subject to availability and may be changed via your dashboard. If you change your code, the old code will immediately stop tracking sales; it is your responsibility to update your links across all your platforms.

Refer-a-Friend vs. Ambassador Program: The IM8 Ambassador Program is a cash-commission program. It is separate from the IM8 Refer-a-Friend program, which rewards customers with store credit.

4. Commissions & Qualifying Sales

Standard Commission: You will earn a ten percent (10%) commission on the net sales amount of every Qualifying Sale made through your referral link or discount code.

Qualifying Sale: A Qualifying Sale is defined as a first-time order placed by a new customer on the IM8 website that is correctly tracked to your link or code. A Qualifying Sale does not include:

Purchases made by you, your employees, or members of your household (self-dealing);

Orders that are canceled, refunded, or charged back;

Orders generated through unauthorized coupon-aggregation sites, spam, bot traffic, or fraudulent activity;

Shipping fees, taxes, or other non-product charges.

IM8 reserves the right to modify commission rates, eligible products, or qualification rules at any time. Changes will be reflected in your dashboard or communicated via email and will apply prospectively.

5. Payment Terms

Minimum Threshold: Commissions will only be paid once your approved account balance reaches a minimum of $100 USD. Balances under $100 USD will roll over to the following month and do not expire.

Commission Hold: All commissions are subject to a thirty (30) day hold period from the date of the Qualifying Sale to account for our refund and return window.

Payout Schedule: Approved commissions that have cleared the 30-day hold are paid monthly, typically processed at the end of each calendar month and disbursed within the first two weeks of the following month. (For example, a sale made in January will clear its hold in February and be paid out in early March).

Currency & Methods: All payouts are calculated and issued in US Dollars (USD). Payouts are issued via PayPal or bank transfer, as configured by you in your Social Snowball dashboard. Currency conversion fees or foreign exchange rates are handled by your payment provider.

Taxes: You are an independent contractor. You are solely responsible for reporting and paying any and all applicable local, state, and federal taxes on commissions earned.

6. Performance Rewards & Free Product

The IM8 Ambassador Program is a performance-based commission program. Free product is earned through engagement and sales milestones, not guaranteed upon signup.

All physical rewards are subject to availability, shipping restrictions, and IM8's verification. IM8 reserves the right to substitute rewards or modify the tier structure at any time.

7. Content Standards & Promotional Conduct

You agree to use your best efforts to market and promote IM8 products in a positive, truthful, and sincere manner. Any content, posts, photos, videos, or written material you create promoting IM8 ("Content") must adhere to the following standards:

Truthful & Authentic: Content must reflect your genuine experience and opinion.

No Unsubstantiated Claims: You must not make any health, medical, or structure/function claims about IM8 products that are not explicitly approved by IM8 or found on our official website.

DSHEA Compliance: You must strictly comply with the Dietary Supplement Health and Education Act of 1994 (DSHEA). You may not claim that IM8 products diagnose, treat, cure, or prevent any disease.

Professionalism: You must not engage in conduct that brings IM8 into public disrepute, contempt, scandal, or ridicule. Your Content must not contain profanity, nudity, violence, discrimination, or any illegal or objectionable material.

Application to Paid Advertising: The standards in this Section apply to all Content and to all paid advertising — including ad copy, headlines, and landing pages — in every market in which you promote IM8.

8. FTC Disclosure Requirements

You must clearly and conspicuously disclose your "material connection" to IM8 whenever you post Content where you could earn a commission, in strict compliance with the FTC's Guides Concerning the Use of Endorsements and Testimonials in Advertising.

Disclosures must be prominent (e.g., #ad, #sponsored, #IM8Partner, or a clear verbal disclosure in video content) and placed before the audience engages with the promotional link or code.

Hiding disclosures in a sea of hashtags or placing them where users must click "Read More" is prohibited.

IM8 monitors Ambassador accounts and reserves the right to withhold commissions or terminate your account for failure to properly disclose your affiliate relationship.

9. Prohibited Practices

Engaging in any of the following activities is a material breach of these Terms and will result in immediate termination of your account and forfeiture of all pending commissions:

Posting your discount code or referral link on coupon, discount, or deal-aggregation websites (e.g., RetailMeNot, Honey).

Using deceptive, automated, or manipulative traffic generation methods (e.g., bots, click farms, spam).

Creating websites, social media handles, or domains that copy, resemble, or imply an official affiliation with IM8.

Sending unsolicited commercial emails (spam) promoting IM8.

Reselling IM8 products or purchasing products using another person's credit card without authorization.

Paid advertising is governed by Section 9A, which contains its own enforcement tiers.

9A. Paid Advertising

Effective 15 August 2026, the following rules apply to all paid advertising that promotes IM8 or is intended to generate commissions under this Program, on every platform and in every market. "Paid advertising" includes paid search, Performance Max, Demand Gen, display, YouTube, Meta, TikTok, native placements, and any other paid media.

(a) Channel Declaration. Before running any paid advertising, you must declare your paid channels using IM8's official declaration form (https://forms.gle/qQhUox6WRyY6DTXu9) and must update your declaration before launching on any additional channel. Paid activity on an undeclared channel is a breach of these Terms. Paid activity from an account that has declared no paid advertising is treated as a false declaration under subsection (f)(iii).

(b) Brand Negative Keywords. You must apply IM8's Brand Negative Keyword List (https://cdn.shopify.com/s/files/1/0637/4460/6375/files/Brand_Negative_Keyword_List_v1.pdf?v=1785170540), as updated by IM8 from time to time, as phrase-match negative keywords at account level in every Google Ads account that you run or that runs on your behalf. Account level is required because it is the only level that covers Performance Max and Demand Gen campaigns.

(c) Prohibited Bidding. You may not bid on, or otherwise target, search terms containing: (i) IM8, im8health, or any spacing or misspelling variant thereof; (ii) the name of any IM8 ambassador combined with IM8; or (iii) IM8 combined with coupon, discount, code, promo, deal, review, vs, or alternative. This applies on every advertising platform and in every market. Writing review and comparison content is permitted and encouraged; bidding on such terms is not.

(d) No Direct Linking. No paid advertisement may use im8health.com — or any IM8-operated page, including your referral link (im8health.com/discount/[YOUR_CODE]) — as its destination, landing page, or final URL. All paid traffic must land first on a page that you own and operate, containing your tracking link. Your tracking, attribution, and commission rate are unaffected by this requirement.

(e) Creative and Targeting Restrictions. You may not: (i) use IM8 trade names, trademarks, or logos in ad copy, headlines, or display URLs, or otherwise present yourself as an official or authorised IM8 account; (ii) use IM8 logos, product imagery, or ambassador likenesses in paid creative; (iii) build advertising audiences seeded with IM8 search terms or with visitors to IM8's website or app; or (iv) use placement targeting directed at IM8-owned channels, including IM8-owned YouTube channels. Health and product claims in paid advertising are limited to IM8's approved claims list (see Section 7).

(f) Enforcement. IM8 monitors paid placements in all markets. (i) First violation: takedown notice, reversal of commissions from the violation period, and hold on the pending balance. (ii) Violation not corrected within 24 hours of notice, or a second violation: termination from the Program and forfeiture of the pending balance. (iii) Coupon interception, brand impersonation, claims outside IM8's approved list, paid activity on an undeclared channel, or paid activity from an account that declared none: immediate termination and forfeiture, without prior notice.

(g) Agencies and Media Buyers. Engaging an agency or media buyer does not transfer or reduce your responsibility under this Section. You are responsible for their compliance as if it were your own.

(h) Exceptions. Exceptions to this Section may be granted only by IM8 in writing, per keyword and per market. A request that has not been answered in writing is not an approval.

10. Intellectual Property & Licenses

IM8's Intellectual Property: IM8 grants you a non-exclusive, non-transferable, revocable, limited license to use IM8's trade names, logos, trademarks, and approved marketing materials solely for the purpose of promoting the products as authorized under these Terms. You acknowledge IM8's exclusive ownership of all intellectual property. This license does not extend to paid advertising: you may not use IM8 trade names, trademarks, logos, product imagery, or ambassador likenesses in paid ad copy, headlines, display URLs, ad creative, or audience or placement targeting, except with IM8's prior written approval (see Section 9A).

License to Your Content: By participating in the Program, you grant IM8 a limited, non-exclusive, worldwide, royalty-free, irrevocable license to repost, share, and utilize your Content on IM8's owned and operated channels (including our website, social media, and email marketing) for organic promotional purposes. This includes the right to use your name, likeness, handle, and voice as contained in the Content.

11. Confidentiality

During your participation in the Program, you may receive access to non-public information, including upcoming product launches, marketing strategies, commission structures, or private Discord communications ("Confidential Information"). You agree to hold all Confidential Information in strict confidence and not disclose it to any third party without IM8's prior written consent.

12. Independent Contractor Status

Your relationship with IM8 is that of an independent contractor. Nothing in these Terms creates an employment, partnership, agency, or joint venture relationship between you and IM8. You have no authority to bind IM8 to any obligation. You are solely responsible for your own expenses, equipment, and taxes arising from your performance under these Terms.

13. Indemnification

You agree to defend, indemnify, and hold harmless IM8, its parent entities, affiliates, directors, officers, employees, and agents from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your Content or conduct; (b) your violation of any law, regulation, or FTC guideline; (c) your breach of any representation, warranty, or obligation in these Terms; or (d) any actual or alleged infringement of third-party rights by your Content.

14. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL IM8 BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF REVENUE, PROFITS, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE PROGRAM. IM8'S CUMULATIVE LIABILITY TO YOU UNDER THESE TERMS SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID TO YOU IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

IM8 makes no express or implied warranties regarding the Program, the Social Snowball platform, or the products, and disclaims all warranties of merchantability and fitness for a particular purpose.

15. Term & Termination

Term: These Terms apply as long as you participate in the Program.

Termination by You: You may terminate your participation at any time by providing written notice to IM8.

Termination by IM8: IM8 may suspend or terminate your account and participation in the Program at any time, with or without cause, immediately upon notice.

Effect of Termination: Upon termination, you must immediately remove all IM8 links, codes, and promotional Content. IM8 will pay out any legitimately earned commissions that have cleared the hold period prior to termination, provided you have not breached these Terms. Commissions earned through fraudulent or prohibited activity will be forfeited.

16. Modifications to the Terms

IM8 reserves the right to modify these Terms, the commission structure, or the reward tiers at any time. Changes will be posted in your dashboard or communicated via email. Your continued participation in the Program following any modifications constitutes your acceptance of the new terms. If you do not agree to the changes, your sole recourse is to terminate your participation.

17. Governing Law & Dispute Resolution

Governing Law: All matters arising out of or relating to these Terms are governed by the internal laws of the State of Delaware, without regard to its conflict of law principles.

Binding Arbitration: ANY CLAIM, DISPUTE, OR CONTROVERSY BETWEEN YOU AND IM8 ARISING FROM OR RELATING IN ANY WAY TO THE PROGRAM OR THESE TERMS WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION administered by the American Arbitration Association (AAA) in accordance with its applicable rules.

Class Action Waiver: YOU AND IM8 AGREE THAT PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You waive any right to a jury trial.
